A BVI Certificate of Incumbency can help a bank, authority or adviser in Taiwan verify a company’s current directors and other particulars covered by the certificate. It is usually issued by the company’s registered agent in the British Virgin Islands, based on the company records it holds.
If the Taiwan recipient requires authentication by the Taipei Representative Office in London (TRO London), the certificate must complete the appropriate preparation and legalisation process. What is a BVI Certificate of Incumbency?
A BVI Certificate of Incumbency is a certificate confirming the directors, officers or other company information expressly covered by its issuer at a stated date. The contents depend on the issuer’s records, the wording requested and the purpose of the certificate. It may include:
- The company’s name, number and incorporation date.
- Its registered agent and registered office.
- The names of current directors.
- Details of other officers, where applicable.
- Registered shareholders and shareholdings, if expressly included.
- The certificate date, signatory and basis of certification.
Before ordering it, send the registered agent the Taiwan recipient’s requirements. A certificate identifying directors may not include the shareholder information a bank also needs.
Is an incumbency certificate issued by the BVI government?
The commonly used registered agent Certificate of Incumbency is issued by the agent, rather than by the BVI Registrar of Corporate Affairs. It should be distinguished from government-issued documents such as a Certificate of Incorporation or Certificate of Good Standing.
Check who issued and signed the document, what records it refers to and precisely what it certifies. Notarisation and an apostille do not change a privately issued certificate into a government-issued statement of its contents.

When might you need it authenticated for Taiwan?
A Taiwan recipient may request an authenticated incumbency certificate for:
- A corporate bank account or Offshore Banking Unit (OBU) application.
- Know Your Customer (KYC) checks or a bank’s periodic review.
- Verification of the directors connected with a corporate application.
- Investment, financing, lending or guarantee arrangements.
- A share transfer, acquisition or other commercial transaction.
- Legal or accounting due diligence.
The recipient determines which particulars and supporting documents it needs. Obtain its written checklist before arranging certification so the certificate can be prepared with the correct contents and date.
Incumbency, good standing and incorporation: which document answers which question?

For example, an incumbency certificate may show that a person is a director, while a separate board resolution records approval to open an account. The bank may also ask for incorporation and good standing certificates as part of the same application.
Does an incumbency certificate prove signing authority?
A statement that someone is a director does not, by itself, establish authority to sign every document or act alone for every purpose.
Read any authority wording in the certificate and check it against the particular transaction. The recipient may require the company’s memorandum and articles, a board resolution, an authorisation or other evidence alongside the incumbency certificate.
Tell us whether the certificate is needed to identify directors, support a bank application or accompany transaction documents. That distinction helps establish the complete document set.
How recent must a BVI Certificate of Incumbency be?
Ask the Taiwan recipient to specify its maximum acceptable document age. Do not assume that every incumbency certificate has a standard three-month or six-month validity period. Check any validity wording or qualifications in the certificate itself as well.
Confirm whether the recipient measures the document’s age at submission, review or completion of the transaction. Also check whether any directors, shareholders, company names or registered agent details have changed since it was issued.
An apostille or TRO authentication does not update the company information in an older certificate. Where relevant details have changed, ask the issuer to prepare an updated certificate before arranging the next stages.
Is a BVI apostille enough for TRO authentication?
A BVI apostille alone does not fulfil an instruction specifically requiring TRO authentication. TRO London’s business-document guidance requires FCDO legalisation before submission and accepts paper-based apostilles. TRO London business-document requirements

- Obtain the appropriate certificate from the BVI registered agent.
- Complete the required BVI notarisation or certification and BVI apostille.
- Confirm eligibility for UK legalisation and complete any necessary UK certification.
- Obtain an FCDO paper apostille.
- Arrange TRO London authentication and delivery to Taiwan.
FCDO is the UK Foreign, Commonwealth & Development Office. Its legalisation process verifies the relevant signature, stamp or seal. How to authenticate a BVI Certificate of Incumbency for Taiwan
Step 1: Confirm the recipient’s requirements
Obtain the bank’s, authority’s or adviser’s written checklist. Confirm the required issuer, certificate date, contents, original or certified-copy format, translation requirements and deadline.
Ask specifically whether the certificate must include shareholders, shareholdings or other particulars beyond the directors’ names.
Step 2: Obtain the certificate from the registered agent
Give the registered agent the checklist and ask it to confirm the appropriate certificate. Recent changes should be reflected in the relevant records before it certifies the information.
Check company names and numbers against the incorporation documents, and directors’ names against the identity documents used in the application. Raise discrepancies with the issuer before authentication.
Step 3: Complete the BVI preparation and apostille
Arrange the BVI notarisation or certification required for the document’s form and signature, followed by the BVI apostille.
If the certificate refers to schedules or annexes, make sure the relevant pages are included in the document set. The precise notarial act and signature being authenticated depend on how the certificate has been issued.
Step 4: Send the complete scans for review
Send every certificate page, schedule, notarial or certification page and apostille, including endorsements on the reverse. Provide the recipient’s instructions and relevant supporting company documents at the same time.

Step 5: Send the approved document set to London
After the review, send the papers using a tracked courier. Include the application and authorisation documents requested in your checklist.
Keep the existing binding, seals and attachments intact. Use protective packaging and retain a complete scan and the tracking details.
Step 6: Complete any necessary UK certification
We confirm whether further UK certification is required before FCDO submission. Depending on the document and recipient’s requirements, this may involve a UK solicitor or a notary public.

Step 7: Obtain the FCDO paper apostille

Step 8: Arrange TRO London authentication
We prepare the applicable application documents and coordinate submission and return through TRO London. If you have an urgent deadline, we will confirm the express option available for the submission and its expected timetable.
Any separate company statement, application or authorisation must be signed by the appropriate person in the required manner.
Step 9: Receive the completed documents in Taiwan

Who signs the certificate and the TRO application?
These roles may be held by different people:
- The certificate’s signatory acts for its issuer, commonly the BVI registered agent.
- The TRO applicant completes the application and provides the required identity evidence.
- The representative handles submission under the appropriate authorisation.
Do not add a director’s signature to an already issued certificate unless the issuer and the applicable procedure require it. Any additional statement or authority should be prepared in the correct form.
How long does the process take, and what does it cost?
The overall timetable includes certificate preparation in the BVI, local certification and apostille, delivery to London, any UK certification, FCDO legalisation, TRO authentication and delivery to Taiwan.

Frequently asked questions
1. Does every incumbency certificate include shareholders?
No. The contents vary by issuer and the wording requested. If the Taiwan recipient needs shareholder names, share classes or numbers of shares, ask the registered agent to confirm whether these can be included or whether separate records are required.
2. Are the shareholders listed in the certificate necessarily the beneficial owners?
No. Registered ownership and ultimate beneficial ownership are different questions. A listed shareholder may be another company or hold shares under an arrangement that requires further explanation. The recipient may need a structure chart and additional evidence of ownership or control.
3. Can an incumbency certificate replace a Certificate of Good Standing?
If the recipient specifically requests a Certificate of Good Standing, obtain that certificate. Some incumbency certificates include statements about company status, but this does not make the documents interchangeable for every application.
4. Can a director list or company search replace the incumbency certificate?
Only if the recipient accepts it for the required purpose. A search report or director list may contain different information and certification from a registered agent’s certificate. Obtain confirmation before substituting another document.
5. What if a director changes after the certificate is issued?
Tell the recipient and ask the registered agent about an updated certificate. An older certificate may no longer establish the current position required for the application, even if its issue date falls within the recipient’s usual age limit.
6. Can you help if the certificate already has a BVI apostille?
Yes. Send the complete certificate, schedules and apostille set for review. We will confirm what remains to be done before the UK submissions, including whether further certification is required.
7. Can I use an electronic certificate or an e-Apostille?

8. Do I need to travel to London?
We can coordinate the London submissions and return on your behalf. You still need to complete the required forms, identity checks and authorisation. We will confirm any necessary signing or witnessing arrangements during the review.
9. Can several BVI company documents be authenticated together?

10. Does the certificate need a Chinese translation?
Ask the recipient in Taiwan. If it requires a translation, confirm whether the translation must also be certified or authenticated and how it should accompany the English certificate. Agree the requirements before preparing the final set.
