A Cayman Islands board resolution records a company’s approval of a particular decision and the authority given to the people carrying it out. A bank, professional adviser or other recipient in Taiwan may request one when a Cayman company opens an account, makes an investment, arranges financing or signs a contract.

The document needs to match the transaction. It should identify what the board approved, who can act for the company and any conditions on that authority. The recipient’s requirements also determine whether to submit meeting minutes, a written directors’ resolution or a certified extract.

What is a Cayman Islands board resolution?

A board resolution is a decision made by a company’s directors using the procedure applicable to that company. It can approve a transaction, appoint an authorised signatory or permit someone to complete specified documents on the company’s behalf.

The company creates the resolution through its corporate decision-making process. It is not a certificate issued by the Cayman Islands Registrar of Companies.

Section 73 of the Cayman Islands Companies Act requires companies to keep written records of resolutions and proceedings of their members and directors, including decisions taken outside meetings. Cayman Islands Companies Act, 2026 Revision, section 73

How does it differ from other Cayman company documents?

A Taiwan application may require several documents because each answers a different question.

For example, an incumbency certificate may help establish that someone is a director. The board resolution can then show that the company approved a particular bank account and authorised that person to sign the account documents.

Where a transaction also requires shareholder approval, the company must obtain it through the appropriate process. A board resolution does not replace a required shareholders’ resolution or a separately requested power of attorney.

When might a Taiwan recipient request a board resolution?

Possible uses include:

  • Opening a Taiwan bank account or an Offshore Banking Unit (OBU) account.
  • Appointing or changing account signatories and specifying account operating arrangements.
  • Approving an investment in Taiwan.
  • Authorising steps connected with a Taiwan branch or representative office application.
  • Approving borrowing, security or a corporate guarantee.
  • Authorising a share purchase, business acquisition or asset transaction.
  • Approving contracts and appointing people to sign or submit related documents.

The required wording depends on the bank, authority or counterparty. Obtain its document checklist and any prescribed resolution template at the start.

For banking matters, distinguish authority to open an account from authority to operate it, borrow money or give guarantees. A resolution approving account opening may not cover all the facilities the company intends to use.

What should the resolution contain?

The resolution should identify the company, the decision and the people responsible for implementing it. Check the following against the recipient’s requirements:

  • Full company name and company registration number.
  • Resolution date and the form of decision used.
  • The transaction, application or banking arrangement being approved.
  • The relevant bank, counterparty or other institution.
  • Each authorised person’s name and role, with identifying details where required.
  • The documents that person may sign, deliver or submit.
  • Whether signatories may act individually or must act jointly.
  • Any financial limits, conditions, duration or limits on delegation.
  • The agreements, forms, powers of attorney or schedules referred to in the resolution.
  • The appropriate signatures, dates and certification.

A bank’s template can help capture its operational requirements. The company must still adopt the resolution using its own valid approval procedure.

For financing and guarantees, check that the resolution identifies the correct borrower, beneficiary and transaction documents. The approved terms should match the documents that will actually be signed.

Who signs a Cayman Islands board resolution?

First establish how the decision is being made. Then identify who must sign or certify the document submitted for authentication.

The company’s articles govern board procedures, including meeting arrangements and decision-making. Review the relevant provisions on notice, quorum, participation and voting before adopting the resolution. Appleby’s guide to Cayman Islands companies

For meeting minutes, signing the record is a separate question from which directors attended and voted. It should not be assumed that every director must sign the same page.

For written resolutions, establish whether the articles permit the proposed procedure and whose agreement it requires. A document described as unanimous written resolutions must satisfy the applicable requirements for that form of approval.

For a certified extract, identify the person authorised to certify the record and the wording the recipient expects. Certification must accurately reflect the underlying decision.

The person signing the resolution, the person certifying an extract and the person applying to TRO London may be different people. Their roles and supporting evidence should be checked separately.

Notarisation, an apostille and TRO authentication do not supply missing board approval or expand the authority granted by the company.

Cayman Islands board resolution authentication: the nine-step process

Step 1: Confirm the resolution is complete and applicable

Ask the company, its registered office provider or its appropriate adviser to confirm the decision, approval process and required signatures. Establish whether the recipient wants the full minutes, written resolutions or an extract.

Check that the company name, transaction, authorised signatories and attachments are correct. An unsigned draft awaiting approval should not be submitted as an adopted resolution.

If the transaction or signatories have changed, determine whether a further resolution is needed. Keep the actual approval date: a later certification date does not change when the board made its decision.

Step 2: Arrange the required Cayman notarisation

The appropriate notarial treatment depends on the document. An original written resolution, a copy of meeting minutes and a certified extract may require different supporting evidence.

Agree the arrangements before completing any signature that requires witnessing. Include all necessary pages and schedules, and make clear what the notarial certificate is confirming.

Step 3: Obtain the required Cayman Islands apostille

For this London service, complete the required Cayman notarisation and Cayman Islands apostille before dispatching the package to the UK.

The Cayman Passport and Corporate Services Office handles the local legalisation process. Tell the local provider that the documents are intended for onward processing in London and use in Taiwan, so it can confirm the appropriate submission format. Keep the resolution, certification, schedules and apostille together. Do not remove seals, detach pages or alter the binding after certification.

Step 4: Send complete scans for review

Before couriering the originals, provide:

  1. Every page of the resolution, minutes or certified extract.
  2. All attached forms, agreements, powers of attorney and schedules.
  3. The complete Cayman notarial certificate and apostille.
  4. A copy of the certificate of incorporation.
  5. Any relevant certificate of change of name.
  6. The Taiwan recipient’s checklist, template or written instructions.
  7. The intended use, deadline and final delivery address.

We may also request the articles, a register of directors and officers, or an incumbency certificate to establish the relevant company information and signing arrangements.

Step 5: Courier the document package to London

After the scans have been reviewed and the next steps confirmed, send the complete package to our London office using a tracked courier.

Protect signatures, seals, apostilles and bindings during transit. Include any original TRO application forms or agent authorisation documents identified in the agreed checklist.

If several resolutions or supporting documents are being submitted, identify which documents belong together and how many authenticated sets the recipient requires. Confirm this before certification and binding.

Step 6: Complete the appropriate UK certification

A Cayman resolution is a foreign company document. An existing Cayman apostille does not automatically make the original eligible for a second apostille from the UK FCDO.

For the proposed London route, we assess the basis for a suitable UK solicitor’s or notary’s certification and its acceptance for the intended application. This may involve source verification, a company declaration or further evidence of the relevant signature and authority.

The FCDO stage concerns the eligible UK certification; it does not turn the underlying resolution into a UK-issued corporate record. The required certification must be agreed before proceeding.

Step 7: Obtain the FCDO paper apostille

Once the required UK certification is complete and the package is accepted for our express service, the FCDO paper apostille stage normally takes around two working days.

This is the estimated FCDO stage of Ginkgo Advisory’s service. It excludes resolution preparation, Cayman notarisation and apostille, preliminary UK work, TRO processing, translation and international delivery. Additional signature or seal checks can extend the schedule.

Step 8: Submit the TRO London application

After the FCDO paper apostille has been attached, we coordinate the business document application, supporting paperwork, agent submission and collection.

TRO London’s published business document instructions include Cayman Islands documents within their scope and require the FCDO paper apostille before submission. The package must also meet the applicable signature and application requirements. TRO London business document authentication

Tell us at the outset if you need urgent processing. Any express TRO arrangement depends on the service available at the time, the document package and the office’s acceptance of the application.

Step 9: Receive the authenticated documents in Taiwan

Following completion, we can arrange a scan of the authenticated package and tracked courier delivery to the nominated recipient in Taiwan.

Provide the recipient’s full address, contact details and delivery instructions. If the documents are needed for a bank appointment or transaction closing, allow time for the recipient to review them after arrival.

Keep the authenticated package intact and retain a copy with the company’s records.

TRO application forms and agent authorisation

The company resolution and the administrative authority to submit a TRO application serve different purposes.

A resolution authorising someone to open an account does not necessarily authorise an agent to lodge an authentication application. Where an agent is used, prepare the required Letter of Authorization separately.

The application package may include the signed application, identification for the relevant applicant or signatories, company registration evidence and an agent authorisation with the required signature certification. An already notarised Cayman resolution should be reviewed before anyone signs an additional declaration or adds a new certification. We provide the applicable signing instructions after assessing the package.

Can you submit a certified extract instead of full board minutes?

Ask the Taiwan recipient whether it accepts an extract. This can be useful where the full meeting record includes unrelated business.

The extract should identify the company and the date of the relevant decision, reproduce the approval accurately and preserve all conditions affecting the authority granted. It should be prepared and certified by someone with the appropriate authority to deal with the company’s records.

Arrange an extract before notarisation. Removing pages from an authenticated set can break the connection between the certification and the document it covers.

Frequently asked questions

1. Must every director sign the resolution?

The answer depends on the decision-making procedure and the document being submitted. Meeting minutes, written resolutions and certified extracts have different functions. Check the company’s articles and the recipient’s requirements instead of applying one signature rule to every format.

2. Can a sole director approve the decision?

Check the company’s constitution and the applicable rules before relying on a sole director’s decision. A company intentionally constituted to operate with one director may differ from a company whose board has fallen below its required number. The fact that only one director remains does not, by itself, establish authority for the proposed transaction.

3. Do the directors have to meet or sign in the Cayman Islands?

Cayman directors’ meetings need not take place in the Cayman Islands, subject to the company’s articles and proper meeting procedure. Separately, the location and method of signing affect the available witnessing, notarisation and authentication arrangements. Confirm those arrangements before signatures are collected. 4. Can a bank’s resolution template be used?

It can provide the wording the bank expects, but it must be reviewed against the company’s circumstances and adopted through the proper procedure. Check account powers, borrowing authority, signatory arrangements and any attached mandates. Completing a bank template does not itself establish that the board validly approved it.

5. Does a certificate of incumbency replace the resolution?

An incumbency certificate and a board resolution provide different evidence. The certificate may identify the directors or officers stated in it; the resolution records approval of the transaction and the authority granted. A recipient may request both, together with the articles or other supporting records.

6. Is an electronically signed resolution acceptable?

That requires review of the corporate approval procedure, the electronic record and the recipient’s requirements. Provide the original electronic file and available signing evidence. Acceptance for company purposes does not automatically establish acceptance for notarisation, an apostille or TRO submission. A printout or pasted signature image alone may be insufficient.

7. Does a board resolution expire after three or six months?

Do not assume a universal expiry period. Review any duration stated in the resolution, later decisions, revocation and changes to the transaction or authorised people. The Taiwan recipient may also impose its own document-age requirement. A newly dated certification or apostille does not renew the underlying authority.

8. Is a Cayman Islands apostille enough for this service?

The London service described here includes review of the Cayman package, the necessary UK certification, an FCDO paper apostille and TRO London authentication. A Cayman apostille alone does not complete that route. Confirm the full chain against the recipient’s written instructions before paying for certification or sending originals.

9. Does Taiwan require a Chinese translation?

Ask the receiving bank, authority or adviser whether it needs a translation and whether that translation requires separate certification or authentication. Identify the English document version to be translated and check that names, dates, signatory powers and annexes remain consistent. Agree the sequence before binding or dispatching the documents.

10. How long does the complete process take?

The total depends on resolution preparation, signing, Cayman processing, UK certification, FCDO legalisation, TRO processing and courier transit. Around two working days refers only to the eligible express FCDO stage. Send scans and the required delivery date so we can assess the complete schedule and any available urgent service.
