A British Virgin Islands (BVI) company power of attorney authorises another person to act for the company within the powers stated in the document. A bank, government authority or business counterparty in Taiwan may request it when a representative handles an investment application, signs a contract or completes specified banking procedures.
Before authentication, the document should identify the company granting the authority, the appointed attorney and the work that person may undertake. The company’s approval, the signatory’s authority and the recipient’s requirements all need to fit the intended transaction.

What is a BVI company power of attorney?
A power of attorney, commonly shortened to POA, is an instrument appointing someone to act on behalf of another person or entity. For a corporate POA, the company grants the authority.
Section 106 of the BVI Business Companies Act allows a company, subject to its memorandum and articles, to appoint an attorney in writing for general purposes or a particular matter. An attorney’s acts within the appointment bind the company. BVI Business Companies Act, section 106
This makes the wording important. A POA intended only for submitting an investment application should accurately describe that task. Powers to negotiate terms, sign contracts, receive money or appoint another representative should be considered separately and included only where intended and appropriate.
The term attorney describes the appointed representative. It does not, by itself, mean that the person is a qualified lawyer. Any professional qualification required for the particular work in Taiwan must still be checked.
Who are the parties to a corporate POA?
Several people may be involved, each in a different capacity.

For example, a BVI company may appoint a representative in Taiwan to submit an investment application. A director signs for the company, while the Taiwan representative receives the specified powers. The principal should be identified as the company, rather than the director in a personal capacity.
If the same person performs more than one role, make each capacity clear in the relevant document.
When is a BVI power of attorney used in Taiwan?
Possible uses include authorising a representative to:
- Complete permitted bank account or Offshore Banking Unit (OBU) procedures.
- Submit an investment application and respond to requests for further information.
- Sign an identified commercial agreement.
- Execute specified financing, borrowing or guarantee documents.
- Handle documents for a share purchase, business acquisition or asset transaction.
- Instruct a lawyer or another appropriately qualified professional.
- Submit applications, receive notices or collect documents.
- Communicate with named authorities or counterparties on an agreed matter.
Obtain the recipient’s checklist or prescribed template before preparing the final document. A POA does not automatically allow a representative to open a bank account remotely or replace the bank’s identification and interview requirements. Ask the bank which actions can be delegated and who must participate personally.
General, special or limited power of attorney?
A general power of attorney usually covers a wider range of activities. A special or limited power of attorney usually restricts the appointment to a particular transaction or defined tasks.
The operative wording determines the scope. A document titled “Special Power of Attorney” can still contain very broad powers if the clauses are not carefully defined.
For example, authority to submit documents and collect an approval does not necessarily include authority to change the investment terms, sign a loan or receive funds. Decide which actions the company intends to permit, then match the wording to those actions and the recipient’s requirements.
Where two or more attorneys are appointed, specify whether they must act together, whether either may act alone, or whether different powers have different signing arrangements. Also consider whether substitution or further delegation is permitted and on what terms.
What should the document include?
Review the POA against the company’s approval and the intended Taiwan use.

Keep names consistent with the relevant identification and company records. If the POA refers to an agreement or bank form, identify the correct version. A later amendment to that document may require the company to review the original authority.
The approval date, signing date, effective date and certification date may be different. Record what happened accurately; a later apostille does not change the date on which authority was granted.
How should a BVI company power of attorney be signed?
Section 106 permits the appointment to be executed as a deed or signed by a person acting with the company’s express or implied authority. The appropriate route must also take account of the company’s constitution, the document and the intended use. BVI Business Companies Act, section 106
Do not assume that every corporate POA requires two directors’ signatures, or that applying a company stamp is sufficient. Establish who is authorised to sign and which formalities apply to the chosen route.
If the instrument is to be executed as a deed, confirm the relevant execution and delivery requirements before signing. The recipient or notarial process may require particular evidence or witnessing arrangements even where the company has already approved the appointment.
The number of directors whose approval is needed for a corporate decision and the number of people signing the resulting POA are separate questions.
For an unsigned POA, send the complete draft and tell us where the signatory will be located. For a document already signed, preserve the original and provide scans so that the existing execution and certification can be assessed.
How does the POA relate to other company documents?
The supporting documents should establish both the company’s identity and the relevant authority.

A director’s name appearing in an incumbency certificate helps establish their position. Evidence of that position does not necessarily establish the specific authority needed for the proposed transaction.
Similarly, a resolution approving the appointment does not automatically satisfy a recipient that expressly requests a separate POA. Check which documents it requires and whether each needs authentication.
How long does the power of attorney remain valid?
Check the instrument’s terms, applicable law and relevant company decisions. Consider whether the authority has expired, been revoked, been replaced or ended because the specified task is complete.
The receiving institution may require a recently executed document or additional confirmation that the authority remains in force. A POA without a stated expiry date is not necessarily acceptable indefinitely for every application.
If the attorney, bank, transaction or permitted activities change, ask the company and its appropriate adviser whether a fresh appointment or amendment is needed. Appointments described as irrevocable, or connected with security or existing transaction rights, require particular review before changes are made.
Authentication does not extend the appointment, add powers or restore authority that has ended. Re-certifying a copy does not resolve an expired or revoked POA.
BVI power of attorney authentication: the nine-step process
Step 1: Confirm the Taiwan recipient’s requirements
Obtain the written checklist and any required template. Confirm the permitted activities, required wording, execution format and supporting company records.
Ask whether the recipient wants the signed original or an accepted certified copy, whether it imposes a document-age requirement, and whether a Chinese translation is needed. Identify the number of authenticated sets required before arranging certification.
For banking work, confirm which procedures the attorney may complete and which people must still attend or undergo identification checks.
Step 2: Complete company approval and signing arrangements
The company should complete the required approval process and confirm the signatory’s authority before executing the POA.
Check the attorney’s details, the powers granted, any limits and all attachments against the approval. Where a board resolution authorises the appointment, ensure it corresponds to the POA that will actually be signed.
Agree any witnessing or notarial arrangements in advance. Provide the signatory’s location and the proposed signing method, including whether the document is to be signed on paper or electronically.
Step 3: Arrange the required BVI notarisation and apostille
For the London service described here, complete the required BVI notarisation and BVI apostille before sending the package to the UK.
The notarial work may concern the company representative’s signature, their capacity and authority, or an appropriately certified copy. Confirm the evidence and certification required for the intended chain before proceeding.
Make sure all necessary schedules and signature pages are included. Keep the POA, notarial certificate and apostille together in their completed form.
Step 4: Send complete scans for review
Provide the following before dispatching originals:
- Every page of the POA, including schedules.
- All signature and witnessing pages.
- The complete BVI notarial certificate and apostille.
- A copy of the certificate of incorporation and any relevant name-change certificate.
- The relevant board approval, director records or incumbency certificate, where needed.
- The Taiwan recipient’s instructions or prescribed template.
- The intended use, required delivery date and final destination.

Step 5: Courier the complete package to London
Once the scans have been reviewed and the requirements confirmed, send the documents to our London office using a tracked courier.
Include any original TRO forms and agent authorisation documents listed in the agreed instructions. Protect signatures, seals and apostilles, and keep the original binding intact.
Do not substitute a corrected page within an already notarised package. Resolve any changes with the company and the relevant certifying professional before dispatch.
Step 6: Complete the appropriate UK certification
A BVI company POA is an overseas document. The UK government directs applicants with foreign-issued documents to the relevant country’s legalisation service; an existing BVI apostille does not automatically make the underlying original eligible for an FCDO apostille. For the proposed London route, we assess whether suitable UK solicitor or notarial certification can be provided and accepted for the intended application. The review may require verification of the source document, a company declaration or evidence supporting the relevant signature and authority.
The FCDO stage concerns the eligible UK certification. It authenticates the relevant signature, stamp or seal; it does not approve or expand the attorney’s powers. The certification basis must therefore be confirmed before submission.
Step 7: Obtain the FCDO paper apostille
After the required UK certification is complete and the documents are accepted for our express service, the FCDO paper apostille stage normally takes around two working days.
This estimate applies to Ginkgo Advisory’s eligible express FCDO stage. It excludes POA preparation and execution, BVI work, preliminary UK certification, TRO processing, translation and courier transit. Additional signature or seal checks can extend the schedule.

Step 8: Complete TRO London authentication
Following the FCDO paper apostille, we coordinate the representative-office application under the confirmed category, including the required paperwork, agent submission and collection.
The company document, applicant identification and agent authorisation must meet the applicable requirements. Use the current forms and instructions, and confirm any additional signature certification before signing. TRO London business document authentication

Step 9: Receive the authenticated POA in Taiwan
After authentication, we can arrange scans and tracked courier delivery to the nominated company, bank, lawyer, accountant or other recipient in Taiwan.
Provide the complete address, contact details and delivery instructions. Allow time for the recipient’s review before any bank appointment, application deadline or transaction closing.
Retain a copy with the company’s approval records and keep the authenticated physical package intact.
TRO application signatures and the separate agent authorisation
The company’s attorney, the person who signs the POA and the TRO applicant may be different people. Being eligible to submit the application does not itself give someone authority to issue a POA for the company.
Depending on the package, the application may require the signed form, passport copies for relevant signatories, company registration evidence and a separate Letter of Authorization for an agent. Frequently asked questions
1. Must all directors sign the power of attorney?
There is no single signature requirement for every BVI corporate POA. Check the company’s constitution, the approval given, the chosen execution method and the recipient’s requirements. Approval of the appointment and signature of the resulting document are separate parts of the process.
2. Must the appointed attorney be a director or lawyer?
The appointment is not limited simply by whether the person holds a directorship. Identify the person suitable for the proposed work and check any professional or other qualification required in Taiwan. The title attorney in the POA does not itself confer a legal qualification.
3. Can the company use a bank’s POA template?
Use the template to establish the bank’s requested wording, then review it against the company’s intended powers and approval process. Confirm whether the bank allows the relevant procedures to be handled by an attorney, and whether directors or other individuals must still complete identification or attendance requirements.
4. Is a board resolution enough without a separate POA?
That depends on the transaction and the recipient’s instructions. A resolution may approve the appointment and authorise execution of a POA. If the recipient expressly requests a power of attorney, establish whether a separate instrument must be executed and authenticated alongside the resolution.
5. Can the attorney appoint someone else to do the work?
Review the POA’s delegation or substitution terms and the applicable rules. Do not assume that an attorney can pass the powers to another person. If further delegation is intended, agree its scope, conditions and required documentation before the company signs the appointment.
6. Can an electronically signed POA or PDF be authenticated?
Send the complete electronic file and available signing evidence for assessment. Legal effectiveness, verification of the signature and acceptance by the notary, FCDO, TRO and Taiwan recipient are separate questions. The agreed route may still require a suitable paper document or an additional signing process.
7. What if the attorney’s name needs correcting?
Ask the company to confirm the proper correction or replacement procedure before altering the document. Check the correct name against identification, then resolve any required approval and re-execution. Do not edit a certified scan or replace pages within an authenticated set.
8. Is the BVI apostille sufficient for use in Taiwan?
Follow the recipient’s written requirements. If TRO London authentication is required, the service described here also involves the appropriate UK certification, an FCDO paper apostille and the TRO application. The existing BVI apostille is one stage in that agreed route.
9. Is a Chinese translation required?
Ask the recipient whether it needs a translation and what certification or authentication that translation requires. Check the treatment of the English original, schedules and translation before binding or submission. Names, financial limits, expiry terms and any requirement for attorneys to act jointly must be translated consistently.
10. Can the entire process be completed in two working days?
The two-working-day estimate covers only the eligible express FCDO paper apostille stage. Preparation, signatures, BVI processing, preliminary UK work, TRO authentication and delivery must be scheduled separately.
