When a British Virgin Islands Certificate of Incorporation needs to be used in Taiwan, the document may need a clear legalisation chain before a Taiwan authority, bank, investor, notary, court or transaction party accepts it.

A BVI Certificate of Incorporation is one of the most important BVI company documents. It proves that the BVI company has been incorporated under the laws of the British Virgin Islands. For Taiwan use, this document may be required in banking, investment, due diligence, shareholding, company registration, litigation, asset holding, inheritance, commercial contract or cross-border transaction matters.

For Taiwan use, a BVI Certificate of Incorporation may need more than a BVI apostille. In many cases, the document must also go through the UK-side legalisation chain before submission to the Taipei Representative Office in London.

Why a BVI Certificate of Incorporation May Be Needed in Taiwan

A Taiwan authority or private party may ask for a BVI Certificate of Incorporation when they need to confirm that a BVI company legally exists.

BVI Documents for Taiwan: TRO London Route

For Taiwan use, British Virgin Islands documents should normally go through TRO London, not TRO Edinburgh.

This is important because the Taipei Representative Office route depends on the place where the document was issued. BVI documents fall under the London route.

If you send a BVI company document to the wrong TRO office, the process may slow down. Therefore, you should check the correct office before preparing the application.

What Should Be Prepared First?

Before the document reaches London, the BVI Certificate of Incorporation should usually be issued or certified in the BVI and then apostilled in the BVI.

After that, the document can be couriered from the BVI to London for the UK-side process.

In many Taiwan matters, the document should show a clean official chain. The BVI-issued or BVI-certified company document should carry the correct BVI apostille before the UK FCDO apostille stage. This helps reduce questions when the document later goes to TRO London and then to Taiwan.

UK FCDO Apostille for a BVI Certificate of Incorporation

This step may be important when the document is needed for a Taiwan bank, government authority, court, notary, transaction counterparty, company registration matter, estate matter, investment matter or corporate due diligence process.

TRO Application Form and Company Applicant

For TRO London submission, the company should prepare the TRO application form carefully.

Usually, a company director should act as the applicant and sign the TRO application form. The signature should match the signature shown on the director’s passport.

The director or applicant should also provide a clear, high-quality and unobstructed copy of their valid passport.

In addition, the BVI Certificate of Incorporation itself should clearly identify the company. If the Taiwan recipient also requests supporting company documents, you may need to prepare them together with the Certificate of Incorporation.

Authorisation Letter for TRO London Submission

If Ginkgo Advisory submits the application for the company, TRO London will require an authorisation letter.

The original Letter of Authorisation should be signed by the applicant and witnessed correctly. Depending on the route, the signature may need to be witnessed or certified by a UK solicitor, a notary or an R.O.C. overseas office.

TRO does not accept alternative formats. Therefore, you should use the correct TRO authorisation letter format from the beginning.

If different people sign the TRO application form and the authorisation letter, passport copies for all named persons should be provided. This helps avoid delay when TRO London reviews the application.

Video Witnessing of the Authorisation Letter

Where suitable, Ginkgo Advisory can witness the signing of the authorisation letter by video conference.

This is useful when the company director or authorised person is already in Taiwan but the BVI company document still needs UK-side handling.
