A BVI Register of Members records a company’s registered members and their holdings. For a company limited by shares, a Taiwan bank, investment adviser or business counterparty may request it to check the shareholders and the shares registered in their names.
Before arranging certification and authentication, confirm that the register reflects the required date and that the proposed copy meets the recipient’s checklist. Registered shareholdings, beneficial ownership and authority to sign for the company each need the appropriate evidence.

What is a BVI Register of Members?
The Register of Members, often abbreviated to ROM, is a company record. For a BVI company limited by shares, it is also commonly called a shareholder register or Register of Shareholders.
The company’s registered agent must hold the register or a copy and can help obtain the appropriate version. The original may be kept elsewhere, subject to the applicable recordkeeping and notification requirements. Mourant guide to BVI company records
Ask the recipient whether it needs the company’s complete register, a certified copy from the registered agent, a Registry copy or an accepted extract. A shareholder summary prepared for an application may serve a different purpose from the formal register requested.
What information does the register contain?
For a share company, the statutory particulars include members’ names and addresses, the number of shares held in each class and series, and the dates of entry and cessation of membership. Associated voting rights must also be addressed, with an exception where they are provided in the memorandum or articles. BVI Business Companies (Amendment) Act 2024, replacement section 41

A former member may remain visible in the historical entries. Read the cessation date before treating that person as a current shareholder.
If the company or a corporate shareholder has changed its name, provide the relevant evidence so the recipient can reconcile the documents.
Does the register show each shareholder’s percentage?
It may show share numbers without stating percentages. Establish the correct issued-share total and share class before calculating a holding.
For example, if a company has issued 100 ordinary shares of the same class and one shareholder holds 60, that shareholder holds 60% of that class by number. A constitutional limit permitting the issue of 50,000 shares does not make 50,000 the denominator for this calculation.
Different classes can have different voting, distribution or other rights. A percentage based on share numbers may therefore differ from the percentage of voting rights or another measure of control.
For a bank’s ownership chart, state the basis of the percentages and check that the register and chart use consistent dates. Supply the relevant constitutional provisions where the recipient needs to understand class rights.
Are registered shareholders the same as beneficial owners?
The register identifies the registered members. Further evidence may be needed to identify the individuals who ultimately own or control the company, especially where a corporate shareholder, nominee or trust is involved.
For example, if the BVI company’s registered shareholder is a Hong Kong company, the ROM establishes that immediate holding. Additional records are needed to explain the ownership or control behind the Hong Kong company.
Depending on the Taiwan recipient’s checklist, supporting documents may include:
- An ownership structure chart.
- Shareholder records for intermediate holding companies.
- Identification for the relevant beneficial owners.
- Evidence of nominee or trust arrangements, where applicable.
- The recipient’s beneficial ownership declaration or forms.
BVI company law also contains specific information requirements concerning nominee shareholders. Ask the registered agent which records and filings apply to the company’s circumstances. BVI Business Companies (Amendment) Act 2024, section 41
The bank’s evidence requirements should be agreed separately from the company’s BVI filing obligations. Authentication of the ROM completes only the relevant document stage of the wider application.
Can anyone obtain a BVI shareholder register online?
Filing and public access are separate matters. BVI companies are subject to register-filing requirements, with applicable exceptions. For your company’s register, start with the registered agent. Confirm the required version, the requester’s authority and the available certification or Registry-copy process.
A general company search report may not contain the necessary shareholder details. Check its contents before assuming that it meets a request for a Certified Register of Members.
Which BVI document answers the recipient’s question?

An older share certificate may need to be checked against subsequent transfers and the current register. Likewise, a person appearing as both director and shareholder holds two different roles.
Share ownership alone does not establish authority to open a bank account, borrow or sign a contract for the company. Prepare the resolution, Power of Attorney or other authority required for the transaction.
When might the register be needed in Taiwan?
Possible uses include corporate bank and Offshore Banking Unit (OBU) account applications, KYC updates, investment applications and ownership checks during a commercial transaction.
It can also support due diligence for a share acquisition, financing or share-security arrangement. The recipient may need other documents to assess the transaction, including approvals, transfer records or security documents.
Obtain the written checklist first. Confirm the required contents, certification, number of copies, document age, translation and authentication stages before ordering a document set.
How recent must the register be?
A register is a record that changes as the company’s membership changes. For an application, establish both the date of the underlying information and the date on which the supplied copy was certified.
Ask whether the recipient wants the current register, a recently certified copy or a record showing ownership at a specific historical date. A validity period applying to a Certificate of Good Standing should not be assumed to apply to the ROM.
Before submission, check whether there has been a transfer, allotment, redemption, cancellation or other relevant change. Ask the company and registered agent to resolve any necessary updates and applicable filings before preparing the required copy.
Later notarisation, an apostille or TRO authentication does not update the holdings recorded in an old register. If ownership changes during the application, tell the recipient and agree what updated evidence it needs.
What does certification establish?
Read the certification wording and identify who gave it. Certification may concern a copy’s correspondence with a source document, a person’s signature or other specified facts supported by the certifier’s checks.
A certified copy does not automatically confirm that no changes have occurred since the source record was prepared. If the recipient requires confirmation of current shareholdings, agree the wording and supporting evidence with the appropriate company representative or registered agent.
Keep the complete certified set intact. If a correction or limited extract is needed, agree its preparation before certification rather than changing pages afterwards.
How does the UK FCDO stage apply to a BVI register?
The FCDO’s public guidance directs overseas-issued documents to legalisation in their country of issue and separately describes documents eligible through UK solicitor or notarial certification. A BVI register therefore needs its proposed UK preparation reviewed before submission. UK Government document legalisation guidance
An existing BVI apostille does not automatically make the register eligible for a UK apostille. The UK professional must establish the appropriate certification and its supporting basis, taking account of the receiving office’s requirements.

How to authenticate a BVI Register of Members for Taiwan
Step 1: Obtain the required register
Give the Taiwan recipient’s checklist to the company’s BVI registered agent. Confirm the required date, full register or extract, source and certification format. Resolve any relevant record updates before the copy is prepared.
Step 2: Arrange the required BVI certification and notarisation
Confirm how the copy and any relevant signature will be certified for the intended route. Identify the certifier’s capacity and the scope of the statement. Include all required pages and schedules in the agreed preparation.
Step 3: Complete the BVI apostille stage
For the London service described here, complete the required BVI preparation and apostille before dispatch. Give the local handler the full intended route and preserve the register, certification and apostille as one complete document set.
Step 4: Send complete scans for review
Provide every register page, certification page, notarial attachment and apostille, together with the incorporation certificate and any relevant name-change evidence. Include the recipient’s checklist, intended use, deadline and delivery destination.
Step 5: Send the agreed documents to London
Once the scans have been reviewed and the route confirmed, send the document set by tracked courier. Include the application and authorisation originals specified in the checklist. Protect the existing seals, ribbons, bindings and signature pages.
Step 6: Complete the appropriate UK certification
Arrange the agreed solicitor or notarial work. Depending on the document set, this may require further source verification, copy certification, a company statement or signature certification. The professional’s wording must reflect the checks actually completed.
Step 7: Obtain the FCDO paper apostille
Once preparation and the required UK certification are complete and the submission is accepted, Ginkgo Advisory’s eligible express FCDO stage normally takes approximately two working days. Further verification may extend that estimate.
This timing covers the FCDO stage only. BVI work, UK preliminary preparation, TRO processing and international delivery take additional time.

Step 9: Deliver the authenticated register to Taiwan
Check the complete register and all attached certification, apostille and authentication pages. Retain a scan and arrange tracked courier delivery to the nominated recipient. Keep the completed set intact for presentation.
What should you send for an initial review?
Please provide:
- The complete Register of Members, including any schedules.
- Existing copy-certification and BVI notarial pages.
- The BVI apostille, if already obtained.
- The company’s incorporation certificate and relevant name-change evidence.
- The Taiwan recipient’s written requirements.
- Details of any recent ownership changes relevant to the application.
- The deadline, required copies, translation needs and delivery destination.
If other documents are requested, such as a Register of Directors, Good Standing certificate or ownership chart, send the complete list. Identify the legal entity to which each document belongs, especially where the application involves several holding companies.
Who signs the TRO application?
The person certifying the register, the company applicant and the agent submitting the application may be different people. Confirm their respective roles before preparing the forms and identification documents.
For an application through an agent, prepare the required Letter of Authorization and complete the applicable signature certification. A shareholder’s appearance in the register does not, by itself, mean that person must sign the authentication application. Determine whose participation is needed from the actual documents and required certification.
Is a Chinese translation required?
Ask the Taiwan recipient whether it accepts English and, if a Chinese translation is required, what certification or notarisation it expects. Confirm whether the translation must cover the register alone or the full authenticated set.
Preserve the distinction between registered shareholders and beneficial owners. Translate share classes, quantities and entry or cessation dates accurately, retaining the original names where needed for identification.
If the translation needs separate authentication, agree its preparation before the final document set is assembled. The translation should reflect the source register without adding ownership percentages or statements absent from it.
How long does the complete process take?
The timetable depends on obtaining the correct register, any record updates, BVI preparation, UK certification, FCDO legalisation, TRO processing and delivery. Additional verification or translation may add time.

Frequently asked questions
1. Are a Register of Members and a Register of Shareholders the same?
For a typical BVI company limited by shares, both terms commonly refer to the shareholder register. Check the contents and format: a list of names may not satisfy a request for the complete register or a certified copy.
2. Can a share certificate replace the register?
Ask the recipient. A share certificate covers the holder and shares stated on it, while the requested register may need to show all current members and holdings. Check subsequent changes before relying on an older certificate.
3. Is a corporate shareholder the ultimate beneficial owner?
The corporate shareholder is the registered holder shown in the ROM. The recipient may also require evidence identifying the individuals who ultimately own or control the structure, supported by records for intermediate companies.
4. What if the shares have just been transferred?
Ask the company and registered agent to resolve the required register updates and applicable filings, then obtain the version appropriate to the application. If the purpose is to establish historical ownership, agree the relevant date and evidence instead.
5. Does filing the register make it publicly available?
Filing alone does not establish public availability. Check whether the company has elected for public access and what process applies. For the company’s own register, contact its registered agent first.
6. Can you work from a PDF register?
Send the complete original PDF for review. We will assess its source and certification, then confirm the required paper or other preparation. A printed PDF is not automatically a certified copy.
7. Must every shareholder sign again?
There is no basis to assume this simply because a person is listed in the register. The company applicant, certifier and any declaration signatory must complete the requirements relevant to their roles. We will confirm the signing checklist after reviewing the documents.
8. Is the BVI apostille enough for Taiwan?
Follow the recipient’s requirements. If TRO London authentication is required, complete the reviewed UK certification, FCDO paper-apostille and TRO stages. An existing BVI apostille does not automatically complete that route.
9. Can the register be processed with other company documents?
Yes. Send the full list for review. Each document’s source, certification and authentication needs must be assessed, including whether separate apostilles or authentication are required. Clearly identify documents belonging to different companies.
10. Does the two-working-day estimate include TRO and delivery?
No. It covers Ginkgo Advisory’s eligible express FCDO stage once the required preparation is complete. BVI work, UK preliminary work, TRO authentication and international courier delivery must be scheduled separately.
