A Cayman Islands Certificate of Incorporation establishes that a company was incorporated in the Cayman Islands. A Taiwan bank, authority or transaction adviser may request it to verify the identity of a Cayman company involved in an account application, investment or commercial transaction.

If your recipient requires authentication by the Taipei Representative Office in London (TRO London), the certificate must complete the appropriate preparation and legalisation stages before submission.

What is a Cayman Islands Certificate of Incorporation?

A Certificate of Incorporation is issued by the Cayman Islands Registrar of Companies. It records the company’s incorporation and provides the official foundation for checking its corporate identity.

Section 27 of the Companies Act provides for the Registrar to issue the certificate and gives it conclusive evidential status regarding compliance with incorporation and registration requirements. Cayman Islands Companies Act, section 27

When reviewing the certificate, check the company name, company number, incorporation date, issuing authority and any wording identifying the company’s form or status at incorporation. These details should match the other documents submitted for the same application.

Your registered office provider or corporate services provider may help obtain the document. The certificate itself remains a Registrar-issued document.

When might the certificate be needed in Taiwan?

A Cayman company may be asked to provide incorporation evidence for:

  • A corporate bank account or Offshore Banking Unit (OBU) account application.
  • Bank know-your-customer (KYC) checks and account reviews.
  • An investment in a Taiwan company.
  • A foreign company branch or representative office application.
  • Corporate financing, guarantees or other commercial arrangements.
  • Share transfers, acquisitions and group reorganisations.
  • Due diligence by lawyers, accountants or transaction counterparties.

The document requirements depend on the recipient and purpose. Ask for a written checklist identifying the certificate, acceptable copy format, authentication requirements and any Chinese translation needed.

If the recipient will retain the documents, confirm whether an appropriate certified copy can be used before sending away the company’s original incorporation certificate.

A bank may request several of these documents because each answers a different question. Incorporation evidence alone does not establish current good standing, identify every shareholder or show who may sign a particular agreement.

Can an older incorporation certificate be used?

An older certificate can still record the company’s original incorporation. Its suitability for a new legalisation application is a separate question.

The Cayman Government’s published legalisation guidelines require submitted documents to be dated within a 12-month period. If your certificate was issued years ago, ask the Cayman provider which recent certificate, certification or notarial preparation is appropriate before arranging legalisation. This requirement concerns the document presented for legalisation. It does not change the company’s original incorporation date or mean that the company must be incorporated again.

Keep these dates separate when preparing the application:

For example, a company incorporated in 2010 retains that incorporation date when a copy is certified in 2026. If the Taiwan recipient also wants evidence of current standing, arrange the relevant separate document within its required date window.

What if the company has changed its name?

Provide the incorporation certificate together with the relevant name-change evidence. Where the company has changed its name more than once, send the full sequence for review so the current application can be linked to the original company.

Section 31 of the Cayman Companies Act provides for the Registrar to record a name change and issue a certificate reflecting it. Read the actual certificate wording, since the title may refer to incorporation on change of name. Cayman Islands Companies Act, section 31

Check the name on the bank or investment application against the current company records. Supply supporting certificates where necessary and confirm which documents need authentication. Keep the original names and dates on the certificates intact.

Does a Cayman apostille complete the process for Taiwan?

Follow the Taiwan recipient’s requirements. If it expressly requires TRO London authentication, a Cayman apostille alone does not complete that requested process.

TRO London’s commercial-document guidance includes the Cayman Islands within its stated coverage and requires an FCDO paper apostille before submission. It accepts paper-based apostilles for this service. TRO London business document authentication

The London service described below therefore involves a review of the Cayman document and its existing legalisation, the appropriate UK preparation, an FCDO paper apostille and TRO authentication. The exact preparation must be confirmed for the document presented.

The UK stage needs particular care. FCDO guidance says that overseas-issued documents cannot be legalised directly through its UK-document service. Where a suitable UK solicitor’s or notary’s certification is required, its form and acceptability must be checked first. Simply sending a Cayman certificate to London does not establish eligibility. How to authenticate a Cayman Certificate of Incorporation for Taiwan

Step 1: Confirm the required certificate and copy format

Obtain the Taiwan recipient’s instructions before ordering documents. Confirm whether it accepts the original certificate, an appropriate Registry copy or a notarised certified copy, and whether a recent issue or certification date is required.

If the original is missing or you only hold a PDF, provide that information at the outset.

Step 2: Check the Cayman certification requirements

The need for notarisation depends on the document format, the signature that can be verified and the recipient’s instructions. An official certificate and a privately certified copy may need different preparation.

The Cayman legalisation guidelines require an appropriate, verifiable signature and address documents signed by both notaries and Registry officials. Ask the local provider to confirm the correct treatment of your certificate. Cayman Government legalisation guidelines

Step 3: Complete the required Cayman Islands apostille

For this service, arrange the required Cayman Islands apostille before sending the document to London. Tell the Cayman provider that the document is intended for onward processing through London for use in Taiwan.

Keep the certificate, any notarial pages and the apostille attached as issued.

Step 4: Send the complete scans for London review

Please provide:

  • Every page of the Certificate of Incorporation.
  • Any Cayman notarial or certification pages.
  • The complete Cayman apostille.
  • Name-change certificates, where applicable.
  • The Taiwan recipient’s written requirements.
  • The intended use, deadline and delivery address.

Step 5: Courier the documents to London

Step 6: Complete the appropriate UK certification

We will confirm the certification needed for the FCDO and TRO stages and arrange suitable UK solicitor or notarial involvement where required. The reviewer may need to inspect the original, verify the source or request supporting records.

Step 7: Obtain the FCDO paper apostille

Once the documents are complete, any required UK certification is finished and the submission is eligible and accepted, Ginkgo Advisory’s express service normally allows approximately two working days for the FCDO paper-apostille stage.

This is our service estimate for that stage. It excludes Cayman document preparation, Cayman legalisation, preliminary UK work, TRO processing and courier delivery. Additional verification by the FCDO can extend the time needed.

Step 8: Arrange TRO London authentication

What is needed for the TRO application?

The submission checklist will identify the company applicant, required passport copies, application form and any supporting company documents. Follow the signature instructions and provide clear, complete identification copies.

When appointing an agent, use the TRO’s prescribed Letter of Authorization and complete the required signature certification. If different people sign the relevant documents, provide the identification requested for each signatory. Refer to the current TRO London business document instructions and forms.

The incorporation certificate is issued by the Registrar. The applicant should not add a personal signature to it. If a separate company declaration is needed, we will explain its purpose and the signing requirements during review.

An authorisation to lodge a TRO application concerns the authentication process. Authority to open a bank account, sign a contract or commit the company to an investment must be addressed in the transaction documents where required.

Can a Cayman incorporation certificate be verified online?

The Cayman Registry provides an official certificate-validation service. It asks for the Entity File Number and Authorisation Code shown on the certificate. Cayman Registry certificate validation

Check that the returned information matches the document presented. If an older certificate lacks the necessary validation details, ask the Registry or your company provider how its source can be confirmed.

Online verification helps check the certificate. Any notarisation, apostille or TRO authentication required by the recipient must still be completed, and current company standing must be assessed using suitable evidence.

Frequently asked questions

1. Can a Certificate of Incorporation replace a Certificate of Good Standing?

Each serves a different purpose. Incorporation evidence records formation; Good Standing addresses the company’s standing as stated in that certificate. If the recipient requests both, prepare both.

2. Does the certificate list the directors and shareholders?

Its main purpose is to record incorporation. For current directors, shareholders or ownership information, use the specific records requested by the recipient. An incorporation certificate alone is insufficient for those checks.

3. What if the original certificate has been lost?

Ask the registered office provider about obtaining an appropriate Registry document or certified copy. Confirm the accepted replacement format before arranging legalisation, particularly if the Taiwan recipient originally requested an original certificate.

4. Can you start with an electronic certificate?

Yes. Send the original PDF for initial review. We will check what paper document, certification or further verification is needed for the agreed process. Printing a PDF does not by itself create a certified copy.

5. Does a recently certified copy change the incorporation date?

No. The company retains its original incorporation date. The newer date records the copy’s certification. Keep both dates clear when supplying information on bank or investment application forms.

6. What if the certificate shows the company’s previous name?

Send the relevant name-change certificates with it. The recipient needs to connect the original incorporation record to the current company name. Multiple changes may require a sequence of supporting documents.

7. Can I use an FCDO e-Apostille for this service?

TRO London requires a paper apostille for the commercial-document service covered here. A printout of an e-Apostille is not an FCDO-issued paper apostille. Confirm the format before ordering it. TRO London business document authentication

8. Must I travel to London?

We can act as your agent for submission and collection. You must still complete the necessary forms, identification checks and signing arrangements. We will confirm these after reviewing the document set and your circumstances.

9. Can other company documents and a Chinese translation be included?

Send the complete list for review. Confirm the recipient’s translation requirements and whether each document or translation needs separate certification and authentication. The package should follow the recipient’s accepted format.

10. Does the entire process take two working days?

No. Approximately two working days is the estimate for Ginkgo Advisory’s eligible express FCDO stage after preparation is complete. Cayman work, UK certification, TRO authentication and international delivery require additional time.
