A Cayman Islands Certificate of Good Standing provides evidence of a company’s good standing on the date it is issued. A Taiwan bank, authority or transaction adviser may request it for corporate banking, an investment, financing or due diligence.

If your recipient requires authentication by the Taipei Representative Office in London (TRO London), the certificate must complete the appropriate document preparation and legalisation stages. Its issue date must also meet the recipient’s requirements when the completed documents are submitted.

What is a Cayman Islands Certificate of Good Standing?

The Certificate of Good Standing is an official document issued by the Cayman Islands Registrar of Companies. Your company’s registered office provider or corporate services provider may help obtain it, but the Registrar is the issuer.

Under section 200A of the Companies Act, the certificate is evidence of good standing on its issue date. The statutory test concerns payment of fees and penalties under that Act and the Registrar having no knowledge of a default under the Act. Cayman Islands Companies Act, section 200A

This guide concerns company certificates under the Companies Act. If your entity is a Cayman LLC or exempted limited partnership, identify its legal form when sending the enquiry so the relevant certificate can be reviewed.

What does Good Standing establish?

Read the certificate’s actual wording and date. It addresses the company’s standing with the Registry within that wording; it is not a financial statement, credit rating or guarantee that the company can pay its debts.

It also does not establish every director’s signing authority, identify the complete ownership structure or approve a particular transaction. A bank may need separate director information, ownership records, financial evidence and a board resolution.

Where the company has changed its name, provide the relevant name-change evidence so the current certificate can be linked to earlier incorporation documents.

Why might the certificate be needed in Taiwan?

A recipient may request it for:

  • A corporate bank account or Offshore Banking Unit (OBU) account application.
  • Know-your-customer (KYC) reviews and bank record updates.
  • Investment by a Cayman company in a Taiwan business.
  • Corporate financing, lending or guarantees.
  • Share transfers, acquisitions and asset transactions.
  • Group reorganisations and cross-border transactions.
  • Due diligence by lawyers, accountants and counterparties.

For example, a bank may use the incorporation certificate to identify the company, Good Standing to check its standing at a recent date, and a resolution to establish approval for the proposed account arrangements.

Ask for the written document checklist before ordering the certificate. Confirm the exact title, acceptable format, date requirements, number of sets and whether a Chinese translation is needed.

If the checklist specifies Certificate of Good Standing, obtain the recipient’s agreement before substituting a Certificate of Existence or search report. A general request for “proof of company status” should be clarified by identifying what the recipient needs the document to establish.

How long is a Cayman Certificate of Good Standing valid?

The Cayman Registry states that its Good Standing certificates have no expiry date. The requesting institution determines the acceptance criteria under its own compliance requirements. Cayman Registry guidance on certificate validity

That does not mean the same certificate will be accepted indefinitely. Ask the Taiwan recipient:

  • How recently the certificate must have been issued.
  • Whether its age is measured at submission, review or transaction completion.
  • Whether any separate date requirement applies to certification or authentication.
  • Whether a delayed transaction will require a new certificate.

For example, if the recipient requires a certificate issued within 30 days of submission, include Cayman preparation, UK processing and international delivery when planning the order. The 30-day period in this example is a recipient requirement, not a universal Cayman expiry rule.

Notarisation, a Cayman apostille, an FCDO apostille and TRO authentication do not update the underlying company status. A certificate issued on 1 September still reports on that date when authenticated later in the month.

Who should obtain the certificate?

Coordinate the request through the company’s authorised representative and its Cayman registered office or corporate services provider. Confirm the appropriate ordering channel for the company type, the applicant’s authority and the required certificate format.

If you are handling the Taiwan application, send the recipient’s checklist to the Cayman provider before it orders the document. This helps align the issue date, certification and delivery arrangements.

If a new certificate cannot be issued, ask the provider to establish the reason and what must be resolved. Authenticating an older certificate does not resolve outstanding company matters or provide evidence of more recent standing.

Does the certificate need notarisation in Cayman?

The preparation depends on whether you hold an official certificate, an electronic document or a copy, and on the signature that can be verified. An official Registry document and a notarised copy may follow different preparation routes.

Cayman’s legalisation guidelines require the relevant signature and seal to be in order and address documents signed by both notaries and Registry officials. The guidelines also require submitted documents to be dated within a 12-month period. This local submission requirement is separate from any shorter age limit imposed by the Taiwan recipient. Send the complete document for review before arranging additional notarisation. If you only have a PDF, retain the original electronic file and its source details.

Is a Cayman apostille enough for TRO London?

If the Taiwan recipient expressly requires TRO London authentication, a Cayman apostille alone does not complete that requested process. TRO London’s business-document guidance includes Cayman Islands documents and calls for FCDO paper legalisation before submission. TRO London business document authentication

The London route described here requires review of the Cayman document and its existing authentication, appropriate UK preparation, an FCDO paper apostille and TRO authentication. The precise preparation must be confirmed for the certificate presented.

FCDO guidance says overseas-issued documents cannot be legalised directly through its UK-document service. Where suitable UK solicitor or notarial certification is required, that certification and its acceptance must be established first. How to authenticate a Cayman Good Standing certificate for Taiwan

Step 1: Obtain a certificate that meets the recipient’s requirements

Confirm the required issue-date window, document format and number of copies before the company orders its certificate. Coordinate the timing with the Cayman provider, particularly if a name change or other company update is being completed.

Step 2: Confirm the Cayman certification requirements

Check whether the certificate can proceed on its official signature or needs suitable local notarisation or other preparation. The chosen form must meet the requirements of the onward process and the Taiwan recipient. Review an electronic document before printing it for formal use.

Step 3: Complete the required Cayman Islands apostille

For this service, arrange the required Cayman Islands apostille before sending the documents to London. The Passport and Corporate Services Office handles local legalisation. Step 4: Send complete scans for review

Provide the Good Standing certificate, any notarial pages, the Cayman apostille, an incorporation certificate copy and relevant name-change documents. What is needed for the TRO application?

The submission checklist will identify the applicant, required identification copies, company information, forms and supporting documents. Prepare clear copies and follow the applicable signing instructions.

Where an agent is appointed, use the prescribed Letter of Authorization and complete the required signature certification. The Good Standing certificate is issued by the Registrar. The applicant should not add a personal signature to the original certificate. Any separately required declaration will have its own signing arrangements.

An authorisation to lodge an authentication application concerns that administrative process. Authority to open or operate an account, sign a contract or approve an investment must be addressed in the relevant company documents.

How can you verify a Cayman Good Standing certificate?

The Cayman Registry’s online validation service uses the Entity File Number and Authorisation Code on the certificate. Cayman Registry certificate validation

Compare the returned information with the company name, number and issue date. If validation fails or the details differ, ask the Registry or the provider that obtained the certificate to investigate before proceeding.

Online validation helps check the certificate. It does not replace any notarisation, apostille or TRO authentication required by the recipient, or make the certificate a report of today’s company status.

How should you plan the timing and cost?

Work backwards from the Taiwan recipient’s submission deadline and certificate-age requirement. Allow time for certificate issuance, Cayman preparation and apostille, delivery to London, UK certification, the FCDO, TRO London and delivery to Taiwan.

Approximately two working days is Ginkgo Advisory’s estimate for the eligible express FCDO stage after preparation is complete. All other stages require additional time. If the transaction timetable changes, confirm whether the existing certificate can still be used before committing to further work.

Frequently asked questions

1. Can I keep using a certificate because it has no expiry date?

Only if it meets the recipient’s requirements for the particular submission. Check how recently it must have been issued and which stage of the transaction is used to measure its age.

2. Does a new apostille renew the certificate?

No. The apostille records a later authentication step. The Good Standing certificate continues to provide evidence relating to its own issue date. Obtain a new certificate if the recipient needs more recent standing evidence.

3. Can a Certificate of Existence replace Good Standing?

Ask the recipient before substituting it. The documents have different purposes and wording. If Certificate of Good Standing is expressly listed, prepare that document unless an alternative has been agreed.

4. Why is Good Standing needed when I already have an incorporation certificate?

The incorporation certificate records formation. Good Standing addresses the company’s standing at a later stated date. A recipient may need both to complete its company checks.

5. Does Good Standing confirm the directors or shareholders?

Its purpose is to establish company standing within its wording. Obtain the requested director, incumbency or ownership evidence separately. Transaction authority may also require a board resolution or other authorisation.

6. What if the company cannot obtain a new certificate?

Ask the Cayman provider to identify and resolve the reason. An authenticated old certificate cannot establish more recent standing or remedy outstanding company filings, fees or other matters.

7. Can you review an electronic certificate?

Yes. Send the original PDF and any supporting authentication pages for review. We will identify the appropriate paper or certified format for the agreed process. Printing the PDF alone does not create a certified copy.

8. Can an FCDO e-Apostille be used for TRO London?

TRO London’s business-document service requires a paper apostille. A printout of an e-Apostille is not the same document. Check the required format before ordering legalisation. TRO London business document requirements

9. Can you handle submission while I am outside the UK?

10. Can other company documents and a Chinese translation be included?
