A UK company Power of Attorney authorises a named person to act for the company within a defined scope. It may be needed when someone in Taiwan will handle a bank application, sign transaction documents or represent the company in an investment matter.
Before arranging an apostille and Taipei Representative Office authentication, confirm the company’s approval, the powers being granted and the correct signing procedure. The completed document must also meet the Taiwan recipient’s requirements.

What is a company Power of Attorney?
A company Power of Attorney, often called a corporate POA, grants authority from the company to its appointed attorney. In this context, “attorney” means the authorised representative; the person need not necessarily be a lawyer. The work itself may have separate professional or recipient requirements.
Keep the roles clear:

For example, a director may sign for a UK company appointing a representative in Taipei to handle a specified investment application. The company grants the authority; the director signs in a representative capacity.
Which UK signing rules apply?
The company’s legal form, registered jurisdiction and the document’s applicable law need to be established first. The company execution rules discussed below concern England and Wales or Northern Ireland under the Companies Act 2006. Scottish-law documents and other entity types need their applicable formalities checked separately.
Section 47 allows a company, under the law of England and Wales or Northern Ireland, to appoint an attorney by an instrument executed as a deed to execute deeds or other documents on its behalf. Companies Act 2006, section 47
If the recipient only requires a simple authority to submit or collect papers, confirm whether it requires a formal Power of Attorney or accepts a narrower authorisation letter. The title alone does not determine the appropriate form.
How does a POA differ from a board resolution or authorisation letter?
A board resolution records the company’s decision, such as approving a transaction and the issue of a POA. The Power of Attorney grants the appointed representative the powers set out in it. Both may be required.
An incumbency certificate or director record may help establish the signatory’s position. It does not, by itself, describe the powers granted to the attorney for the proposed transaction.
The Letter of Authorization used to appoint a TRO submission agent serves a further, separate purpose. Authority to lodge and collect authentication documents should be distinguished from authority to sign a contract, invest company money or operate a bank account.
When might a UK company need a POA in Taiwan?
Possible uses include:
- Submitting corporate bank or Offshore Banking Unit (OBU) account applications.
- Signing specified bank forms and answering application queries.
- Handling an investment application and collecting its outcome.
- Representing the company in branch or representative-office procedures.
- Signing a specified commercial agreement or completion documents.
- Completing an approved share or asset transaction.
- Signing financing or guarantee documents within approved limits.
Ask the bank, authority or transaction adviser for its checklist and any required template. A POA does not automatically remove the recipient’s identification, interview or other application requirements.
For banking matters, distinguish opening the account from operating it. Authority to submit an application may need different wording from authority to transfer money, manage online banking, borrow or close the account.
What should the Power of Attorney contain?
The document should reflect the company’s actual instructions and approvals. Review these points before finalising it:

If the company has approved one investment at a specified maximum amount, the POA should reflect that decision. A power to make administrative corrections should also be distinguished from authority to change the main commercial terms.
Complete material details and finalise referenced attachments before signing. Confirm that the attorney’s name matches the identification used for the Taiwan application.
How should company approval be checked?
Review the company’s current articles, relevant director information and the decision approving the appointment or transaction. Identify the approved POA version and any limits imposed by the decision.
Company approval and formal execution are separate questions. A document may have suitable signature blocks while the underlying decision still needs attention. This is also relevant to a company with one director: its constitution and decision-making arrangements must be checked alongside the available signing route.
If the draft changes after approval, confirm whether the amended powers, attorneys, amounts and conditions remain covered before signing the revised version.
Who can sign a company Power of Attorney?
Within the scope of section 44 of the Companies Act 2006, company documents can be executed using the applicable common-seal procedure or the statutory signature routes. Those routes include two authorised signatories, or a director signing in the presence of an attesting witness. Companies Act 2006, section 44

“Authorised signatories” has a specific statutory meaning here. It does not mean any two employees selected for convenience. A single person holding both director and secretary roles does not count as two separate signatories.
The signing route, company approvals and any additional signature certification required for authentication should be agreed together. A company rubber stamp is not a substitute for the applicable execution formalities.
Why does execution as a deed matter?
Where the section 47 route applies, the Power of Attorney must be executed as a deed. The document should clearly identify that form and use an appropriate execution clause. Its delivery and effective-date arrangements also need to match the intended transaction.
“Delivery as a deed” concerns the intention to become bound by the document. It is a legal concept, distinct from sending the papers by courier. Any condition delaying the deed’s effect should be addressed before signing. HM Land Registry guidance on execution and delivery of deeds
Adding an apostille later does not supply missing company approval, correct an unsuitable execution clause or complete a deficient witness procedure.
Can a witness attend by video call?
For the England and Wales deed-signing route requiring a witness’s presence, arrange for the witness to be physically present. HM Land Registry’s guidance cites the Law Commission’s conclusion that remote presence does not satisfy the relevant requirement, including under section 44(2)(b), even where electronic signatures are used. A video identity check and the witnessing required for valid execution address different matters. The later solicitor or notarial certification also needs to reflect the work actually performed.
Tell us the signatories’ locations and the proposed signing method before arranging an appointment. This allows the execution and authentication requirements to be considered together.
What if the director is in Taiwan or another country?
Provide the draft and signing location first. The appropriate witness arrangements, professional certification, original-document requirements and legalisation route depend on the circumstances.
A document connected to a UK company is not automatically eligible for FCDO legalisation on any overseas signature or foreign notarial certificate. What if the POA has already been signed?
Send every page, including schedules, signature pages and existing certification. Explain when and where it was signed, who witnessed it and where the original is held.
The review will identify whether the existing document can proceed or whether further work or fresh execution is needed. A professional cannot certify personal witnessing of an event they did not witness.
If signatories used separate copies, provide all versions and explain the arrangement. The final document must accurately preserve the approved text, attachments and execution records.
Does authentication extend a POA’s validity?
Its continuing effect depends on its terms, the relevant law and any revocation, replacement or other terminating event. Check the current position before submitting an older document.
An apostille or TRO authentication does not extend a stated expiry date or restore revoked authority. If the recipient asks for a recently issued POA or evidence that an existing one remains effective, agree the required document before arranging certification.
Keep the approval, signing, effective, expiry and authentication dates distinct. Use the actual dates when preparing the document and supporting explanations.
What certification is needed for the Taiwan process?
The required work may include identity and signature verification, review of company capacity and supporting authority, or certification of a copy. Agree the required scope with the certifying professional and the recipient.

The certification must describe the checks actually completed. If a separate legal opinion is requested, its scope and supporting evidence need to be agreed as additional work.
FCDO apostille and TRO authentication: how do they fit together?
FCDO legalisation checks the relevant signature, stamp or seal and attaches an apostille. It does not add powers to the POA or remove its limits. If the Taiwan recipient requires representative-office authentication, complete that stage after the apostille. UK Government legalisation guidance
TRO London’s business-document service requires a paper apostille. Printing an e-Apostille does not turn it into an FCDO-issued paper apostille. TRO London business-document requirements
Confirm the appropriate representative office before submission. London and Edinburgh have separate jurisdictions, and the company background, document preparation and certification details should be reviewed. How to authenticate a UK company POA for Taiwan
Step 1: Obtain the Taiwan recipient’s requirements
Provide the checklist, preferred template and intended use. Confirm the required language, original copies, signature certification and deadline. Identify the particular bank, authority or transaction for which the POA will be used.
Step 2: Assemble the company and signatory information
Provide the company name, complete company number, registered jurisdiction, current articles and relevant appointment records. Identify the proposed company signatories and attorneys, including where the signatories will be when signing.
Step 3: Finalise the powers and company approval
Confirm the authorised acts, financial limits, joint or individual acting arrangements, duration and attachments. Check that the company has approved the appropriate version and any associated transaction.
Step 4: Agree the execution and authentication route
Confirm the applicable law, deed requirements, signatories, witnesses and professional certification. Check the appropriate representative office and finalise the signing instructions before execution.
Step 5: Complete signing and the required certification
Execute the document using the agreed procedure, complete the relevant witnessing and delivery arrangements, and obtain the required solicitor or notarial certification. Keep the approved text and all referenced schedules together.
Step 6: Obtain the FCDO paper apostille
Submit the eligible document for paper legalisation. Once preparation and required certification are complete and the submission is accepted, Ginkgo Advisory’s express FCDO stage normally takes approximately two working days. Further verification can extend that estimate.
Step 7: Prepare the representative-office application
Complete the applicable forms and gather identification, company evidence, originals and copies. Where an agent is appointed, use the required Letter of Authorization and complete the relevant signature certification.
Step 8: Complete representative-office authentication
Submit to the confirmed office, respond to any request for additional information and arrange collection. For urgent cases, confirm the available express service and its conditions before relying on a completion date.
Step 9: Deliver the completed documents to Taiwan
Check the complete POA, attachments, certification, apostille and authentication pages. Retain a scan and arrange tracked international courier delivery. Preserve all bindings and seals for the recipient.
What supporting documents should you send?
For initial review, provide:
- The complete draft or signed POA and all referenced attachments.
- The recipient’s checklist or template.
- The company’s incorporation and relevant name-change documents.
- Current articles and relevant approval records.
- Evidence of the company signatories’ appointments and authority.
- Signatory and attorney details required for the proposed process.
- Any existing certification or apostille pages.
- The deadline, required copies and delivery destination.
Identification and formal application documents can then be prepared according to the agreed checklist. The attorney named in the POA, the company signatory and the TRO submission applicant may be different people; identify their roles clearly.
Is a Chinese translation required?
Ask the Taiwan recipient whether English is accepted and what translation certification it requires. Agree whether the translation must include the POA alone or the complete authenticated set.
Preserve the limits, conditions and acting arrangements. “Jointly” should not be translated as permission for either attorney to act alone. The term “attorney” should reflect the representative role, and any power to delegate should retain its stated restrictions.
Check company names, personal names, amounts, currencies and dates against the original. A translation should not add account-operation, borrowing or guarantee powers absent from the signed POA.
How long does the complete process take?
The timetable depends on company approval, finalising the draft, signatory locations, execution and certification, the FCDO, representative-office processing, any translation and courier delivery.
Approximately two working days is Ginkgo Advisory’s estimate for the eligible express FCDO stage after preparation is complete. It excludes the other stages and is not an estimate for the full process through delivery to Taiwan.
Send the draft and actual submission deadline so the scope, quotation and expected timetable can be confirmed. If other company documents are needed, review them together and confirm whether each requires separate certification and authentication.
Frequently asked questions
1. Does the director grant the power personally?
For a corporate POA, the company grants the power. The director or other appropriate signatory signs in the relevant representative capacity. A director’s personal authorisation concerns a different principal and purpose.
2. Can a board resolution replace the POA?
Follow the recipient’s requirements. A resolution may approve the appointment, but a separately requested POA must still be prepared and validly executed. Changing a document’s title does not supply missing formalities.
3. Must two directors sign?
Not in every case. Within the applicable section 44 rules, signature routes include two authorised signatories or one director with an attesting witness. Check the company’s circumstances, approvals and recipient requirements before selecting the route.
4. Can the witness watch the director sign by video?
For the England and Wales deed-signing route requiring the witness’s presence, physical presence is required. Remote identity verification is a separate process and does not replace that witnessing requirement.
5. Does the appointed attorney have to be a lawyer?
The term identifies the person given authority under the POA. Whether that person needs a particular professional qualification depends on the work and the applicable Taiwan requirements.
6. Can an attorney delegate the work to a colleague?
Check the POA, company approval, applicable law and recipient’s requirements. Any permitted substitution or delegation must follow the relevant conditions. The colleague’s name should not simply be inserted into the signed document.
7. Can you review a scanned POA first?
Yes. Send the full document, schedules and existing certification. Scans allow an initial review, while formal certification and authentication may require the signed original or another specifically accepted format.
8. Can I use a POA that has already expired?
Authentication does not extend the authority. Review the terms and current circumstances, then arrange an appropriate replacement or other required document where necessary.
9. Does an apostille confirm that all the powers are legally effective?
The apostille authenticates the relevant signature, stamp or seal. Company approval, valid execution, the scope of authority and the recipient’s acceptance remain separate matters.
10. Can Ginkgo handle the UK process while the company representative is abroad?
