What are the BVI Memorandum and Articles of Association?
The Memorandum and Articles of Association are the company’s constitutional documents. They are often referred to together as the M&A or company constitution.

For a company authorised to issue shares, the memorandum includes its permitted number and classes of shares and the applicable class rights. The company’s actual provisions must be read alongside the law. BVI Business Companies Act, sections 9–11
These documents help a reviewer understand how the company is organised and how decisions should be made. They do not, by themselves, establish who currently owns its shares or whether a particular transaction has been approved.
When might they be needed in Taiwan?
A Taiwan recipient may request the memorandum and articles when reviewing a BVI company for:
- A corporate bank account or Offshore Banking Unit (OBU) application.
- Know Your Customer (KYC) checks and company-record updates.
- An investment in a Taiwanese business.
- A branch or representative office application.
- Borrowing, financing or a guarantee arrangement.
- A share transfer, acquisition or other commercial transaction.
- Legal or accounting due diligence.
Ask the recipient for its written document checklist. It may need the constitution together with incorporation, good standing, incumbency or transaction-authority documents.
Which version should you authenticate?
Unless the recipient specifically asks for a historical version, ask the company’s BVI registered agent to confirm the current memorandum and articles and any later amendments.
A set provided when the company was incorporated may have been changed since then. An older notarised copy can still be a copy of an outdated constitution.
Amended and restated memorandum and articles
An amended and restated version brings amendments into a consolidated document. Ask the registered agent to confirm its registration status and whether further changes have been made since that version.
The BVI Act provides for registering amendment notices or restated documents and addresses when they take effect. A document’s title or a draft date alone does not establish that it is the version needed for the application. BVI Business Companies Act, sections 13 and 15
Separate amendment documents
If the current position is recorded in an earlier set plus subsequent amendments, send all relevant documents for review. We can confirm the proposed submission format with the recipient’s requirements in view.
For example, if a later amendment changes the voting rights of a share class, the original articles alone may not show the rules relevant to the transaction.
Complete pages and schedules
When the recipient requests the full M&A, include both the memorandum and the articles, their schedules and the applicable amendments. Check page numbers, double-sided pages, signature pages and attachments before arranging certification.
How do the memorandum and articles differ from other BVI documents?

The constitution may explain how a board decision should be made, while the resolution records the decision itself. A bank may need both, as well as evidence identifying the current directors.
Is a BVI apostille enough for Taiwan?
If the recipient specifically requires TRO authentication, a BVI apostille alone does not fulfil that instruction. TRO London’s business-document guidance requires FCDO legalisation before submission and specifies paper-based apostilles. TRO London business-document requirements

FCDO stands for the UK Foreign, Commonwealth & Development Office. Its legalisation process verifies the relevant signature, stamp or seal. BVI-issued documents require review of the existing authentication and the basis for UK processing; sending them to London does not automatically make them eligible for an FCDO apostille. How to authenticate BVI Memorandum and Articles of Association for Taiwan
Step 1: Confirm the recipient’s requirements
Obtain the written checklist from the bank, authority or adviser in Taiwan. Confirm whether it needs the current constitution or a specified historical version, an official certified copy or another accepted format, a Chinese translation and separate authentication of any amendments.

Step 2: Obtain the correct document set

An available copy is not necessarily the right copy for the recipient’s purpose. Confirm the format before paying for further preparation.
Step 3: Complete the BVI preparation and apostille
Arrange the BVI certification or notarisation appropriate to the document’s form, followed by the BVI apostille. The necessary preparation depends on whether you are using an official certified copy, another copy or an electronic source.
Confirm which documents and pages the certification covers, including schedules and separate amendments.
Step 4: Send the complete scans for review
Send the memorandum, articles, relevant amendments, certification pages and apostille. Include every page carrying a stamp, endorsement or attachment reference.

Step 5: Send the approved papers to London
After the review, send the required documents using a tracked courier. Include the application and authorisation papers requested in your checklist.
Constitutions can run to many pages. Use suitable protective packaging, keep the binding and seals intact, and retain a complete scan and the courier tracking details.
Step 6: Complete any necessary UK certification
We confirm the basis for FCDO submission and whether further UK certification is required. Depending on the documents and recipient’s instructions, this may involve a UK solicitor or a notary public.

Step 7: Obtain the FCDO paper apostille
Once the documents are complete, any required certification is finished and the submission is eligible, our express service usually completes the FCDO paper-apostille stage in approximately two working days.
This estimate covers that service stage only. Further signature checks or requests for information can extend the timetable. BVI preparation, international transit and TRO processing require additional time.
Step 8: Arrange TRO London authentication
We prepare the applicable application documents and coordinate submission and return through TRO London. If your deadline is urgent, we will confirm the express option available for your submission and its expected timetable.
Any separate statement, application or authorisation must be signed by the appropriate person in accordance with the applicable instructions.
Step 9: Receive the completed documents in Taiwan
After authentication, we can arrange scans and tracked international delivery to your nominated company, bank, lawyer, accountant or other recipient in Taiwan.
Confirm the delivery address, contact name and telephone number before dispatch. Keep the completed set intact when submitting it to the recipient.

The original constitutional signatures and the signatures needed for the authentication application serve different purposes. Do not add new signatures or stamps to an already authenticated constitution without confirming the procedure.
Can a multi-page constitution use one apostille?
Page count alone does not determine the number of apostilles. The relevant questions are what the certification covers, whether the documents form one accepted set and what the recipient requires.
A memorandum and articles bound together may be treated differently from separately certified documents or amendments. Confirm the proposed grouping before submission. How long does the process take, and what does it cost?
The overall timetable includes obtaining the right version, BVI preparation and apostille, delivery to London, any UK certification, FCDO legalisation, TRO authentication and delivery to Taiwan.
The approximately two-working-day estimate is for Ginkgo Advisory’s eligible express FCDO paper-apostille stage. It is not the turnaround for the complete process.

Frequently asked questions
1. Do the memorandum and articles show who owns the company?
They should not be relied on as a current ownership record. A provision allowing up to 50,000 shares does not establish that 50,000 shares have been issued or identify who owns them. The recipient may require the register of members and further ownership evidence.
2. Do the articles prove a director can sign a particular contract?
The articles can help establish the company’s governance rules. The recipient may also need evidence of the person’s appointment and the relevant transaction approval or authority. Provide the bank’s or adviser’s instructions so the required supporting documents can be identified.
3. Can I use the documents issued when the company was incorporated?
Yes, if they remain the appropriate version or are the historical documents the recipient specifically requests. Ask the registered agent to confirm whether amendments or a restated version must also be supplied. Age alone does not determine suitability.
4. Does a recently certified copy prove the constitution is current?
Not necessarily. The certification may establish that a copy matches a particular source without establishing that no later amendments exist. Confirm the version with the registered agent and check what the certification actually states.
5. Can I provide only the Articles of Association?
If the recipient asks for the complete Memorandum and Articles of Association, provide both parts. If it only needs one part or a specific extract, obtain that requirement in writing before preparing the submission.
6. Can you work from a PDF?
Send the original PDF for review. We will confirm its source, version and the paper or certification arrangements needed for the proposed route. A routine printout should not be assumed to have the same status as an official certified copy.
7. Can I use an e-Apostille for TRO London?
TRO London’s published business-document guidance specifies paper-based apostilles. Plan for an FCDO paper apostille for this route. Printing an e-Apostille does not convert it into a paper apostille. TRO London apostille requirements
8. Is a Chinese translation required?
Ask the recipient in Taiwan whether it requires a full translation or an accepted extract, and whether the translation itself needs certification or authentication. The translation should correspond to the same version of the English documents being submitted.
9. Can other BVI company documents be authenticated at the same time?
Yes. Send the incorporation, good standing, incumbency or other required documents together for review. Each document’s preparation and authentication will depend on its form and the recipient’s requirements.
10. Do I need to visit London?
We can coordinate the London submissions and return on your behalf. You still need to complete the required application, identity checks and authorisation. We will confirm any necessary signing or witnessing arrangements during the review.
