If a bank, authority or adviser in Taiwan has asked for an authenticated BVI Certificate of Incorporation, start by confirming the document format and the authentication they require. A BVI apostille alone does not satisfy a request for authentication by the Taipei Representative Office in London, commonly called TRO London.
Ginkgo Advisory helps companies arrange the London stages of the process: document review, any necessary UK certification, an FCDO paper apostille, TRO London authentication and courier delivery to Taiwan.
For the service described here, the certificate first completes the appropriate preparation and apostille process in the British Virgin Islands. We review the complete document set before you send it to London and confirm the requirements for the UK stages.
Send your certificate, any existing certification and apostille pages, and the Taiwan recipient’s instructions through WhatsApp on +44 7388 833283.
What is a BVI Certificate of Incorporation?
A BVI Certificate of Incorporation is the official certificate issued by the Registrar of Corporate Affairs when a company is incorporated in the British Virgin Islands. It identifies the company and records its incorporation date. It is also sometimes described as a company registration certificate.
Section 7 of the BVI Business Companies Act provides for the Registrar to allocate a unique company number and issue the certificate. The certificate establishes that the incorporation requirements were met and that the company was incorporated on the date shown. BVI Business Companies Act, section 7
The certificate provides the starting point for checking the company’s identity. It does not, by itself, establish its current directors, shareholders, beneficial owners or authority to enter a particular transaction.
When might you need it authenticated for Taiwan?
A Taiwan recipient may request an authenticated certificate when reviewing a BVI company for:
- A corporate bank account, including an Offshore Banking Unit (OBU) account.
- Know Your Customer (KYC) checks or a bank’s company-record update.
- An investment in a Taiwanese business.
- A branch or representative office application.
- A financing, acquisition, share transaction or other commercial arrangement.
- Legal, accounting or corporate due diligence.
The required documents depend on the particular application. Ask the recipient for its written checklist before ordering replacement certificates or arranging certification. This helps establish whether it needs the original certificate, a certified copy, a Chinese translation or additional company records.
Incorporation, good standing and incumbency: which certificate do you need?
These documents answer different questions. A request for one should not be treated as a request for all three.
| Document | What it establishes | What to check with the Taiwan recipient |
|---|---|---|
| Certificate of Incorporation | The company’s incorporation and identifying details | Whether the original or a certified copy is required |
| Certificate of Good Standing | The company’s status and compliance with the conditions covered by that certificate | How recently the certificate must have been issued |
| Certificate of Incumbency | The directors, officers or other company information expressly certified by its issuer | The required issuer, contents and issue date |
For example, a bank may request the incorporation certificate to identify the company, a recent good standing certificate to check its status, and an incumbency certificate to identify its current officers. Ownership information or signing authority may require further evidence.
Does a BVI apostille replace TRO authentication?
No. If the Taiwan recipient specifically requires TRO authentication, an apostille alone does not fulfil that instruction.
TRO London’s business-document guidance requires FCDO legalisation before submission and accepts paper-based apostilles. The FCDO is the UK Foreign, Commonwealth & Development Office. TRO London business-document requirements
The service route covered by this guide is:
- Prepare the BVI certificate in the accepted form.
- Complete any required BVI certification or notarisation and obtain the BVI apostille.
- Confirm eligibility for UK legalisation and complete any necessary UK certification.
- Obtain an FCDO paper apostille.
- Arrange TRO London authentication and delivery to Taiwan.
The BVI and UK stages are separate. A BVI-issued certificate should not be treated as a UK-issued document simply because it has been sent to London. We check the existing official signatures and certification before confirming how it can proceed through the FCDO stage. The UK government explains that legalisation depends on the document and the signature, stamp or seal being verified. UK document legalisation guidance
How to authenticate a BVI Certificate of Incorporation for Taiwan
Step 1: Confirm the recipient’s requirements
Ask the bank, authority, lawyer or other recipient in Taiwan to confirm:
- The document it needs and the purpose of the application.
- Whether it accepts a certified copy or requires an original.
- Whether it requires TRO authentication.
- Any requirements concerning the date of certification or authentication.
- Whether a Chinese translation is needed.
- The deadline and the number of authenticated sets required.
Send us the recipient’s exact wording. A checklist is more useful than a general instruction to “get the certificate notarised”.
Step 2: Obtain the appropriate certificate or copy
Check the company’s records and speak to its BVI registered agent if you need another copy. The BVI Financial Services Commission provides information on obtaining corporate documents through its Registry services. BVI Registry document searches and requests
If you want to retain the company’s original incorporation certificate, establish whether the recipient will accept a properly certified copy before arranging the next stages.
Step 3: Complete the BVI preparation and apostille
Arrange the BVI preparation required for the chosen document format, followed by the BVI apostille. Whether separate notarisation is needed depends on the document, its existing signatures and the requirements of the receiving authorities.
Keep the certificate, certification pages and apostille together. Do not remove staples, seals or other attachments from an authenticated set.
Step 4: Send the complete scans for review
Provide a clear scan of every page, including the reverse of any page carrying a stamp or endorsement. Include name-change certificates where relevant.
We check the company name and number, the certificate format, the existing authentication and the recipient’s instructions. We then confirm the documents and signing arrangements needed for the London stages.
Step 5: Send the approved document set to London
Once the scans have been reviewed, send the required papers by a tracked courier. Include any application forms and authorisation documents we have asked you to prepare.
Use protective packaging that keeps the certificate and its attachments intact. Retain the tracking details and a complete scan for your records.
Step 6: Complete any necessary UK certification
We confirm whether the existing document is ready for the FCDO or whether further UK certification is required. Depending on the document and the recipient’s instructions, this may involve a UK solicitor or a notary public.
Ginkgo Advisory provides solicitor-led support and can coordinate notarial work where it is required. The appropriate certification must be established before submission; a basic photocopy certification may not address the recipient’s requirements.
Step 7: Obtain the FCDO paper apostille
Once the documents are complete, any required certification is finished and the submission is eligible, our express service usually completes the FCDO paper-apostille stage in approximately two working days.
This is an estimate for Ginkgo Advisory’s FCDO service stage. It excludes BVI preparation, courier transit and TRO processing. Additional signature checks or requests for information can extend the timetable.
Step 8: Arrange TRO London authentication
We prepare the submission for TRO London, including the applicable application and representative-authorisation documents, and coordinate submission and return.
If you have an urgent deadline, tell us at the start. We will confirm whether an express option is available for the submission and the expected completion date.
Step 9: Receive the authenticated documents in Taiwan
After authentication, we can arrange a scan of the completed set and tracked international delivery to your nominated address in Taiwan. This can be your company, bank, lawyer, accountant or another authorised recipient.
Confirm the recipient’s name, address, telephone number and any delivery instructions before dispatch.
What should you send us to get started?
For the initial review, please provide:
| Item | What to include |
|---|---|
| Certificate of Incorporation | A complete, clear scan, including any endorsements |
| Existing authentication | All certification, notarial and apostille pages |
| Taiwan recipient’s requirements | Its written checklist or request |
| Company name changes | The relevant certificates, if the name has changed |
| Application details | The purpose, deadline, number of sets and delivery destination |
For the TRO application, we will also confirm the applicant’s identity documents, company information, signed application form and any required letter of authorisation. Where different people sign different documents, additional identity evidence may be needed. Use the current forms and follow the applicable signing instructions. TRO London application guidance
You do not need to organise every signature before contacting us. Reviewing the documents first helps avoid having forms signed or certified in an unsuitable way.
How long does the process take?
The overall timetable includes several stages, each with its own processing and transit time.
| Stage | Timing basis |
|---|---|
| BVI certificate preparation and apostille | Depends on the document and local arrangements |
| Courier to London | Depends on the service and dispatch location |
| Review and any UK certification | Depends on the document’s readiness and required checks |
| Ginkgo Advisory’s express FCDO paper-apostille stage | Usually approximately two working days once ready and eligible |
| TRO London authentication | Confirmed against the service available when submitting |
| Courier to Taiwan | Depends on the delivery service and destination |
The complete BVI-to-Taiwan process takes longer than the FCDO stage alone. Send us your deadline and existing documents so we can assess a practical schedule. Details of our UK service are available on our Taipei Representative Office authentication page.
How much does authentication cost?
The total depends on which stages are already complete, whether further certification is needed, the number of documents and the delivery arrangements.
Ask for a quotation that identifies the applicable professional fees, official charges and courier costs. If you need several company documents, send them together for review so the quotation reflects the full submission.
Frequently asked questions
1. Does a BVI Certificate of Incorporation expire?
It records the company’s incorporation on a particular date. An older certificate may still establish that fact, but the Taiwan recipient can require a recently certified copy or recent authentication. If it needs evidence of the company’s current status, ask whether it also requires a Certificate of Good Standing.
2. Can you work from an electronic certificate or PDF?
Send the original electronic file for review. We will confirm the paper format, verification and certification needed for the proposed submission. A printout should not be assumed to have the same status as an official paper certificate or an appropriately certified copy.
3. Can I use an e-Apostille for TRO London?
TRO London’s published business-document guidance specifies paper-based apostilles. Plan for an FCDO paper apostille for this route. Printing an e-Apostille does not turn it into a paper apostille. TRO London apostille requirements
4. Can you help if the certificate already has a BVI apostille?
Yes. Send the complete certificate and apostille set, together with the Taiwan recipient’s instructions. We will check what remains to be done before the FCDO and TRO London submissions. An existing BVI apostille does not establish that all UK preparation is complete.
5. Do I need to travel to London?
We can coordinate the London submissions and return of the documents on your behalf. You still need to complete the required application, authorisation and identity checks. Any necessary signing or witnessing arrangements will be confirmed during the review.
6. Does the certificate need a Chinese translation?
That depends on the recipient in Taiwan. Ask whether it requires a Chinese translation and, if so, whether the translation itself must be certified or authenticated. Confirm this before arranging the document set, as the translation may need separate treatment.
7. What if the company has changed its name?
Provide the Certificate of Change of Name as well as the incorporation certificate. If there have been several changes, provide the relevant sequence so the recipient can connect the original name with the current one. We will confirm which documents need authentication.
8. Can I authenticate several BVI company documents together?
Yes, you can send the full set for review. This may include good standing or incumbency certificates, the memorandum and articles, registers or corporate resolutions. Whether documents can be grouped or need separate certification and apostilles depends on their form and the recipient’s instructions. FCDO guidance on apostille requirements
9. Can the BVI certificate be checked online?
The BVI Financial Services Commission provides a certificate-verification service. Where your certificate supports that service, it can help verify the certificate. Online verification does not replace certification, an apostille or TRO authentication requested by the recipient. BVI certificate verification
10. Does authentication guarantee acceptance by a Taiwan bank?
No. Authentication completes the relevant document-formality process. The bank or other recipient still decides whether the documents meet its requirements and whether further company, ownership or transaction information is needed. Obtaining its checklist at the outset helps you prepare the appropriate set.
